Terms of Service

1. Overview & Parties

These Terms of Service ("Terms") constitute a legally binding agreement between RouteWise Logistics Inc. ("RouteWise," "we," "us," or "our"), a Canadian Federal Corporation, and the entity or individual ("User," "you," or "your") accessing or using the RouteWise platform and services.

RouteWise Logistics Inc. is registered as a Canadian Federal Corporation and participates in the Canada Startup Visa Program. Its primary registered office is in Ontario, Canada.

By accessing, registering for, or using the RouteWise platform, you agree to be bound by these Terms. If you do not agree, you must not use the platform.

2. Description of Services

RouteWise provides a cloud-based, software-as-a-service (SaaS) freight optimization and carbon intelligence platform for the Canadian road freight industry. Services include:

  • AI-powered freight and capacity matching
  • Real-time route optimization with emissions awareness
  • Scope 3 carbon tracking and ESG reporting dashboard
  • TDG (Transportation of Dangerous Goods) and HOS (Hours-of-Service) compliance automation
  • Predictive operational insights and analytics
  • Collaborative shipper–carrier workspace
  • API access to routing engine and platform data (where licensed)

The platform is provided on a subscription basis with optional usage-based transaction fees and premium add-on modules. Users include carriers, shippers, 3PLs, and freight brokers.

3. Acceptable Use

The RouteWise platform is intended solely for legitimate B2B freight optimization, route planning, emissions reporting, and compliance tracking purposes. You agree not to:

  • Reverse-engineer, decompile, or attempt to replicate the platform logic, algorithms, or datasets
  • Use the platform for any unlawful purpose or in violation of applicable Canadian law
  • Share account credentials or allow unauthorized third-party access
  • Upload malicious code, attempt to breach platform security, or interfere with other users
  • Misrepresent your fleet size, company type, or usage intent to access a lower pricing tier
  • Scrape, extract, or commercially redistribute RouteWise data without written permission

4. Subscriptions & Billing

RouteWise offers subscription plans for carriers and shippers billed on a monthly or annual basis. Plans include Starter (CAD $99–$149/month for 1–10 trucks), Growth (CAD $3–$8/truck/month), and Professional (CAD $7–$12/truck/month). Shipper plans range from CAD $249–$999/month.

Subscriptions auto-renew unless cancelled before the renewal date. All prices are in Canadian Dollars (CAD) and are subject to applicable GST/HST. Pricing may be updated with 30 days' written notice.

Annual billing options may provide discounts of up to 15% compared to monthly billing. Payment is due in advance of each billing period.

5. Transaction Fees

In addition to subscription fees, usage-based transaction fees of CAD $1–$4 per matched load apply depending on your plan tier. Optional premium fees may apply for backhaul recommendations and advanced matching features.

Transaction fees are calculated at the end of each billing cycle and invoiced separately. RouteWise reserves the right to adjust transaction fee rates with 30 days' notice.

6. Data Ownership

Individual carrier and shipper operational data submitted to the platform remains the property of the respective User. RouteWise does not sell individual user data to third parties.

RouteWise may use aggregated, anonymized freight data (stripped of all identifying information) for platform improvement, industry benchmarking, and AI model training. Such aggregated data is owned by RouteWise Logistics Inc.

Users grant RouteWise a limited, non-exclusive license to process their data for the purpose of delivering the contracted services.

7. Intellectual Property

All platform software, algorithms, optimization models, machine learning models, datasets (including the Canadian Freight Movement Dataset), dashboards, and proprietary tools — including GO-GEN™, CFMD™, CPI™, and the Compliance-Rule Engine — are the exclusive intellectual property of RouteWise Logistics Inc.

The trademark "Smarter Routes. Cleaner Freight." and the "RouteWise Logistics" word mark are pending trademark registration in Canada. Unauthorized use is prohibited.

Users may not copy, modify, distribute, sublicense, or create derivative works from any RouteWise proprietary asset without express written consent.

8. API & Integrations

API access to the RouteWise routing engine, matching algorithms, and data layers is governed by a separate API License Agreement. API usage is subject to rate limits, authentication requirements, and additional fees (CAD $50–$150 per API seat or flat enterprise pricing).

Integrations with third-party ELD, TMS, and telematics platforms (Geotab, Motive, Samsara, Rose Rocket, Loadlink, Tailwind, etc.) are optional and carrier-controlled. RouteWise is not liable for data quality or availability issues arising from third-party integrations.

9. Liability & Disclaimers

RouteWise provides the platform as a decision support tool. The platform is not liable for routing decisions made by carriers or shippers based on platform recommendations. All operational decisions remain the sole responsibility of the User.

To the maximum extent permitted by applicable law, RouteWise shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the platform, including lost profits, data loss, or business interruption.

RouteWise does not warrant that the platform will be error-free, uninterrupted, or that all routing recommendations will be optimal in all circumstances.

10. Compliance Features

RouteWise's TDG, HOS, and ELD compliance features are advisory tools only. Carriers remain solely responsible for ensuring compliance with Transport Canada TDG regulations, federal and provincial HOS rules, ELD mandates, and all other applicable transportation laws.

Compliance flags, alerts, and documentation reminders provided by RouteWise do not constitute legal advice and do not guarantee regulatory compliance. Users should consult qualified legal or compliance professionals for definitive compliance guidance.

11. Service Uptime

RouteWise targets 99% platform uptime, excluding scheduled maintenance windows communicated in advance. In the event of extended outages, RouteWise will provide service credits as outlined in the applicable service level agreement (SLA).

RouteWise reserves the right to perform scheduled maintenance with reasonable advance notice to Users.

12. Termination

Either party may terminate the subscription with 30 days' written notice. RouteWise may suspend or terminate accounts immediately for material breach of these Terms, including non-payment, violation of acceptable use policies, or fraudulent activity.

Upon termination, User access to the platform will cease. Users may request export of their data within 30 days of termination. After this period, data may be deleted in accordance with the data retention policy.

13. Data Retention

RouteWise retains User data for the duration of the active subscription plus any legally required retention period under Canadian law. Upon account termination, personal data is deleted within 90 days unless retention is required by law.

Aggregated, anonymized data may be retained indefinitely for platform improvement and benchmarking purposes.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

Parties agree to attempt good-faith resolution of disputes before initiating formal legal proceedings.

15. PIPEDA Compliance

RouteWise Logistics Inc. complies with the Personal Information Protection and Electronic Documents Act (PIPEDA) for Canadian users, and provides GDPR-equivalent protections for international users.

Users have the right to access, correct, or request deletion of their personal information. Privacy inquiries may be directed to privacy@routewise.ca.

16. Changes to Terms

RouteWise reserves the right to update these Terms at any time. Material changes will be communicated to Users via email or in-platform notification with at least 14 days' notice before taking effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
